These Terms of Service (“Terms”) govern your access to and use of the websites, devices, software platforms, applications, hardware, and related services (collectively, the “Services”) provided by Rogue Livestock, Inc. (“Rogue Livestock,” “Company,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use the Services. The Services are intended for business and agricultural use.

2. Account Registration

To access certain features, you may be required to create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your login credentials
• Notify us promptly of unauthorized access

You are responsible for all activity occurring under your account.

3. Use of Services

You agree to use the Services only for lawful purposes and in accordance with these Terms.

• Reverse engineer, decompile, or disassemble any hardware or software
• Interfere with system security or functionality
• Use the Services for unlawful, fraudulent, or harmful activities
• Access data or systems without authorization

Rogue Livestock reserves the right to suspend or terminate access for violations.

4. Hardware and Device Terms

If you purchase or use Company hardware:

• Devices are provided subject to applicable warranties (if any).
• You are responsible for proper installation, maintenance, and lawful operation.
• The Company is not responsible for misuse, improper installation, environmental damage, or unauthorized modifications.

Device performance may vary based on environmental conditions, connectivity availability, and other external factors.

5. Subscriptions and Payments

Certain Services may require subscription or recurring payments.

You agree to:

• Pay all applicable fees
• Provide valid payment information
• Authorize recurring billing if applicable

We reserve the right to modify pricing with reasonable notice. Failure to pay may result in suspension or termination.

6. Data and Content

You retain ownership of data you submit or generate through your use of the Services (“User Data”).

By using the Services, you grant Rogue Livestock a non-exclusive, worldwide, royalty-free license to:

• Process User Data to provide Services
• Improve products and services
• Generate aggregated and anonymized analytics

We do not claim ownership of your operational data.

7. Intellectual Property

All content, technology, software, firmware, documentation, branding, trademarks, and proprietary materials associated with the Services are owned by Rogue Livestock or its licensors.

You may not:

• Copy, modify, distribute, or create derivative works
• Use trademarks without written permission
• Attempt to extract source code or proprietary design 

All rights not expressly granted are reserved.

8. Third-Party Services

The Services may integrate with third-party services or platforms. Rogue Livestock is not responsible for third-party content, policies, or practices.

Your use of third-party services is subject to their respective terms.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

ROGUE LIVESTOCK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT

We do not guarantee uninterrupted service, specific performance outcomes, or regulatory compliance.

Operational insights provided through the Services are informational and do not replace professional veterinary, legal, regulatory, or financial advice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

ROGUE LIVESTOCK SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
• DAMAGES ARISING FROM DEVICE FAILURE, CONNECTIVITY ISSUES, OR DATA INTERRUPTIONS
   

Our total liability shall not exceed the amount paid by you to Rogue Livestock in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Rogue Livestock and its officers, directors, employees, and affiliates from claims arising from:

• Your misuse of the Services
• Violation of these Terms
• Violation of applicable laws or regulations
   

12. Termination

We may suspend or terminate your access at any time for:

• Breach of these Terms
• Non-payment
• Conduct that poses risk to the Company or other users

You may discontinue use at any time.

13. Governing Law

These Terms are governed by the laws of the State of Montana, without regard to conflict-of-law principles.

Any disputes shall be resolved in the state or federal courts located in Montana.

14. Changes to Terms

We may update these Terms from time to time. Continued use of the Services after updates constitutes acceptance of the revised Terms.
